Saul Ewing’s Shareholder Litigation Practice is national, but we have substantial strength in Maryland. It is the second most popular state of incorporation for companies listed on the New York Stock Exchange and the state in which more than 80 percent of all publicly registered REITs are formed. Companies in the state face unique challenges that arise under local statutes and common law, such as the Maryland Control Share Acquisition Act, which governs how shareholders can vote on organizational issues. Saul Ewing offers our clients a broad understanding of the Maryland landscape, working with in-house counsel and large law firms across the country on a variety of corporate governance matters. Our attorneys routinely litigate matters in Maryland courts where they have deep experience in local practice and procedure and extensive experience with state and federal judges, which yields a productive familiarity with prevailing personalities and preferences. Our team also has meaningful experience outside of the courtroom, including attorneys who have served as Chief Deputy Attorney General for the State of Maryland and have worked in the Securities Division of the Office of Maryland Attorney General, which gives us the unique prosecutorial perspective needed to navigate government investigations.
